An escalation clause allows a buyer to automatically increase their offer price if the seller receives a higher competing offer. The clause clearly states how much the buyer is willing to increase their price above another offer and sets a maximum purchase price the buyer will not exceed.
For example, a buyer might submit an offer of $400,000 with an escalation clause stating they will beat any competing offer by $5,000, up to a maximum price of $430,000. If another buyer submits a valid offer at $415,000, the escalation clause would raise the first buyer’s offer to $420,000.
In New Hampshire, escalation clauses must be clearly written into the purchase and sale agreement. Sellers are typically required to provide proof of a legitimate competing offer in order to trigger the escalation. This helps protect buyers from unnecessary price increases when no real competition exists.
It’s important to understand that escalation clauses do not guarantee a smoother transaction. Some sellers prefer straightforward offers without escalation language, and in some cases, sellers may counter all offers rather than accept one with an escalation clause.
Buyers should also be aware that escalating above list price does not guarantee the home will appraise at the final offer amount. If the appraisal comes in low, buyers may need to renegotiate, bring additional cash to closing, or risk losing the property.
For sellers, escalation clauses can help maximize sale price, but they can also create complexity if multiple buyers submit similar clauses or if offers differ significantly in terms and conditions.
